Terms of Service

The agreement

These terms are a contract between Comply Ark Technical ("Comply Ark", "we") and the organisation creating a Cookie Gate workspace ("you"). Creating a workspace or using the service means you accept them.

The service

Cookie Gate provides consent-management infrastructure: a configurable consent banner and SDK, geo-aware regulation resolution, cookie scanning and classification, consent receipts and audit exports, and data-protection-request workflows. Features vary by plan as described on the pricing page.

An important boundary

Cookie Gate is a tool, not legal advice. We model regulations carefully and enforce your configuration faithfully, but your compliance posture depends on decisions only you can make — what you deploy, what you disclose, and how you process data outside our platform. Using Cookie Gate does not by itself guarantee compliance with any law, and no output of the service constitutes legal advice.

Accounts

Keep credentials confidential; you are responsible for activity in your workspace. Seats and roles are managed by your administrators under your plan's limits.

Plans, trials and billing

• Prices are in Indian Rupees and billed through Razorpay. Yearly plans are priced at ten months.
• Paid plans start with a 15-day trial that activates when a payment method is attached; nothing is charged until the trial ends, and you can cancel before then at no cost.
• Subscriptions renew automatically each period until cancelled.
• If a renewal payment fails, we retry and remind you over a grace period before service is paused. When a subscription becomes unusable, the SDK on your sites stops serving — we do not silently keep collecting consents you can no longer access.
• Upgrades take effect immediately; downgrades take effect at the end of the current billing period. The Free tier is available as a fallback with its published limits.
• Except where law requires otherwise, fees are non-refundable.

Acceptable use

You agree not to:

• use the service to deceive visitors — including configuring banners that misrepresent what is blocked or consented to;
• probe, overload, or disrupt the service or other tenants;
• resell the service without an agreement that permits it;
• use the service for unlawful processing of personal data.

Your data, our processing

You own your workspace data and the consent records collected on your sites. We process them to provide the service, under your instructions, and delete or return them on termination as required by law. Consent receipts are hash-chained; you acknowledge that removing individual records would break the evidential chain and is therefore restricted by design.

Intellectual property

We retain all rights in the service and SDK. You receive a non-exclusive, non-transferable licence to use them for your websites while subscribed. You retain all rights in your content and configuration.

Availability and support

We operate the service with commercially reasonable care. Contractual uptime commitments (SLA) apply only to Enterprise plans that include them in writing.

Disclaimers

The service is provided "as is" to the maximum extent permitted by law. We do not warrant uninterrupted operation, that every cookie or tracker will be detected, or that use of the service ensures compliance with any regulation.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our aggregate liability under these terms is capped at the fees you paid in the twelve months before the claim. Nothing limits liability that cannot lawfully be limited.

Termination

You can cancel at any time from the billing screen; we may suspend or terminate for material breach, non-payment beyond the grace period, or unlawful use. After termination you may export your consent records for the retention window that applies to your plan.

Governing law

These terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the competent courts at Comply Ark's registered office.

Changes

We may update these terms; material changes are announced to account holders with reasonable notice, and continued use after the effective date is acceptance.
